These Terms of Service (“Terms”) are an agreement between you and Good Exchange PBC (“Good Exchange,” “we,” “our,” or “us”). They govern your use of the Stillwater application and related services (collectively, the “Services”).
Please read these Terms carefully, as they include important information about your legal rights. By accessing or using the Services, you agree to these Terms. If you don’t understand or agree to these Terms, please don’t use the Services.
1. Acceptance of Terms
By accessing or using our Services, you confirm that:
- You are at least 18 years old
- You are capable of forming a binding contract with Good Exchange in your jurisdiction
- You will comply with these Terms and all applicable laws and regulations
2. License and Ownership
Your Content
- You retain ownership rights to the content of your conversations with Stillwater
- You grant us a worldwide, non-exclusive, royalty-free license to store, process, and display your content solely for the purpose of providing and improving the Services
- We will not use your conversations to train our AI models or share them with third parties for advertising or other commercial purposes
Our Services
- The Services, including all intellectual property rights in Stillwater, are owned by Good Exchange
- We grant you a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes
- You may not copy, modify, distribute, sell, or lease any part of our Services
3. Payment Terms
Subscriptions and Stillwater Plus
- Stillwater Plus is our premium subscription service that provides enhanced features and benefits
- Subscription fees are charged at the beginning of each billing period through Stripe
- Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
- You may cancel your subscription at any time through Stripe
- Subscription cancellation takes effect at the end of the current billing period
- No refunds for partial subscription periods unless required by law
- We may modify subscription fees or benefits with 30 days notice
Purchases and Refunds
- All purchases are final and non-refundable unless required by law
- Prices are subject to change without notice
- You are responsible for all charges incurred under your account
4. Prohibited Uses
You agree not to:
- Use the Services for any illegal purpose
- Attempt to gain unauthorized access to the Services
- Upload malicious code or content
- Harass, abuse, or harm others
- Impersonate others
- Interfere with the operation of the Services
- Attempt to reverse engineer the Services
- Use the Services to develop competing products
5. Service Modifications and Termination
We reserve the right to:
- Modify or discontinue any part of the Services with 14 days notice
- Make immediate changes without notice for security or legal reasons
- Terminate or suspend your account at our discretion if we believe you have violated these Terms
- Terminate your account for any other reason with reasonable notice

6. Disclaimers and Limitations of Liability
The services are provided “as is” without any warranties. To the maximum extent permitted by law, Good Exchange disclaims all warranties, express or implied.
AI Service Disclaimers
You expressly acknowledge and agree that:
- Stillwater is an AI-powered service that may generate incorrect, incomplete, or inappropriate responses.
- You will not rely on Stillwater’s responses for any critical decisions.
- We do not guarantee the accuracy, completeness, or usefulness of any AI-generated content.
- You use any information or content provided by the AI at your own risk.
- The AI may occasionally generate unexpected, inaccurate, offensive, or inappropriate content, and we are not liable for such content.
- Conversations with the AI do not create any form of privileged or confidential relationship.
- We make no representations about the AI’s ability to understand or respond to emergencies or crises.
Medical and Professional Advice Disclaimer
You expressly acknowledge and agree that:
- Stillwater is not a licensed medical professional, therapist, counselor, or healthcare provider.
- The services do not provide medical advice, diagnosis, or treatment.
- The services do not provide mental health counseling, therapy, or psychological services.
- The services are not a substitute for professional medical care or mental health treatment.
- We do not attempt to diagnose, treat, cure, or prevent any disease, disorder, or medical condition.
- No doctor-patient relationship, therapist-client relationship, or any other professional healthcare relationship is created.
- The AI is not trained or qualified to handle medical emergencies or mental health crises.
The services are not intended to, and do not, provide financial advice, medical advice, mental health counseling, therapy, or attempt to diagnose, treat, or cure any medical, psychological, or psychiatric conditions. Any information provided through the services is for general informational and entertainment purposes only and should not be relied upon for making financial decisions, medical decisions, or as a substitute for professional advice.
Emergency Notice:
If you are experiencing thoughts of self-harm or suicide, do not use this service. Instead, please immediately:
- Contact the 988 Suicide and Crisis Lifeline by dialing 988 (available 24/7 in the US).
- Call your local emergency services (911 in the US).
- Go to the nearest emergency room.
- For international users, contact your local crisis hotline or emergency services.
Always seek the advice of your physician, mental health professional, therapist, financial advisor, or other qualified professional with any questions you may have. Never disregard professional medical advice or delay in seeking it because of something you have read or received through the services.
Limitation of Liability
In no event shall Good Exchange be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the services, including but not limited to:
- Errors or inaccuracies in AI-generated content.
- Decisions made based on the services.
- Loss of data or profits.
- Security breaches.
- Service interruptions.
- Viruses or other technical issues.
Good Exchange’s total liability for any claims relating to the services shall not exceed the amount you paid for the services in the past six months, or $100, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Good Exchange and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with your access to or use of the services or your violation of these terms.
Force Majeure
Good Exchange shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, pandemic, natural disasters, power failures, or internet disturbances.
7. Dispute Resolution and Arbitration
You agree that any dispute with Good Exchange will be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
The arbitration will be conducted by JAMS under its rules in San Francisco, California. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected].
8. Geographic Restrictions
The Services are operated from the United States. If you access them from other locations, you do so at your own risk and are responsible for compliance with local laws.
You may not use the Services if you are located in any U.S. embargoed countries or are on any U.S. government restricted parties lists.
All data is stored on servers located in the United States.
10. Changes to Terms
We may modify these Terms at any time by posting updated Terms on our website. Your continued use of the Services after any changes indicates your acceptance of the modified Terms.
For material changes, we will provide notice through the Services at least 14 days in advance, unless we need to make immediate changes for security or legal reasons.

12. Severability
If any provision of these Terms is found to be unenforceable, that provision will be severed from these Terms and will not affect the validity and enforceability of any remaining provisions.
